1. Agreement to Terms

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User” or “Client”) and ViswaVardhan Vyapara (OPC) Private Limited, operating under the brand name Atharva (“we,” “us,” or “Company”).

By accessing or using the Atharva integration services, you agree to be bound by these Terms.

2. Relationship with WhatsApp (Meta)

2.1. Tech Provider Status

Atharva acts solely as a Technical Provider to facilitate your access to the WhatsApp Business API. We are not WhatsApp Inc. or Meta Platforms, Inc.

2.2. Adherence to Meta Policies (Mandatory)

Your use of the service is strictly conditioned upon your compliance with Meta’s policies. You agree to abide by:

Violation of these policies may result in the immediate suspension of your WhatsApp Business Account (WABA) by Meta. We have no control over such suspensions and accept no liability for them.

3. Account Responsibilities

  • Verification: You are responsible for completing the Meta Business Verification process if required.
  • Access Credentials: You are responsible for maintaining the security of your authentication tokens and account permissions.
  • Content: You retain full ownership and liability for the content of messages sent through our service. You warrant that you have obtained all necessary consents (opt-ins) from message recipients.

4. Fees and Payment

  • WhatsApp Conversation Charges: You acknowledge that Meta Platforms, Inc. charges directly for WhatsApp conversations (e.g., Service, Utility, Marketing conversations). You are responsible for paying these charges directly to Meta via your WABA payment settings.
  • Platform Fees: Fees for the use of the Atharva/Zira interface are governed by your separate subscription agreement with Zira.

5. Restrictions and Acceptable Use

You agree not to use the Service to:

  • Send unsolicited bulk messaging (spam).
  • Transmit illegal, offensive, or fraudulent content.
  • Harass or violate the privacy of any individual.

We reserve the right to terminate your access immediately, without notice, if we detect abusive traffic patterns.

6. Limitation of Liability

To the maximum extent permitted by law:

  • Service Availability: We do not guarantee 100% uptime. We are not liable for interruptions caused by Meta’s network failures, API outages, or maintenance.
  • Damages: ViswaVardhan Vyapara (OPC) Private Limited shall not be liable for any indirect, incidental, or consequential damages, including loss of profits or data, arising from your use of the service.

7. Governing Law

These Terms are governed by the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Anantapuramu, Andhra Pradesh.
